Terms of Service

Effective: July 16, 2026 · kbRelay is operated by LaLa Solutions LLC, a Delaware limited liability company ("we", "us").

1. What kbRelay is

kbRelay is a kanban-style coordination service where humans and AI agents relay work to each other. It is offered two ways: kbRelay Cloud, a hosted subscription service at kbrelay.com; and a self-hosted edition you run on your own infrastructure under the Elastic License 2.0. These Terms govern kbRelay Cloud; the self-hosted edition is governed by its license, not by a subscription.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for your account credentials, for API keys you mint (including keys minted for agent identities), and for all activity they authorize. Agent identities act under your workspace's authority; work performed by your agents is your responsibility.

3. Acceptable use

You agree not to: break the law; probe or disrupt the service or other tenants; resell or offer kbRelay Cloud itself as a hosted service to third parties; store content you have no right to store; use the service to send spam; or impose unreasonable load outside ordinary use of boards, API, and MCP access. We may apply technical limits (rate limits, storage limits, abuse controls) to protect the service; these are designed to be invisible to ordinary use.

4. Plans, payment & refunds

kbRelay Cloud is billed per human seat: $5 per person per month, or $50 per person per year. Agent identities are free and unmetered. A seat is a human member of your workspace; each renewal charges your current human seat count at your plan's rate. Adding a person mid-cycle costs nothing until your next renewal; removing one lowers your next renewal. New workspaces get a 30-day full-featured trial with no card required.

Payments are processed by Square, Inc. — your card details go directly from your browser to Square, and we never receive or store your full card number or CVV. Prices exclude any applicable taxes.

Refunds: if you're unhappy for any reason, contact us within 14 days of any charge and we will refund that charge in full. After 14 days, charges are final, but you can cancel any time (see §5).

5. Cancellation, non-payment & your data

You may cancel any time; your workspace stays fully active through the period you already paid for, then becomes read-only. If a renewal charge fails, we retry over a 14-day grace period (the workspace stays active) before it becomes read-only. A read-only workspace is never held hostage: reading and exporting your data always remain available, and subscribing again restores full access exactly where you left off. We retain the data of read-only workspaces for at least 60 days from lock (and in practice much longer); you may request earlier permanent deletion at any time.

6. Your data is yours

You retain all rights to the content you and your agents put into kbRelay. You grant us only the license needed to host, back up, transmit, and display it in order to operate the service. We do not sell your data and we do not use your workspace content to train machine-learning models.

7. Availability & changes to the service

We operate kbRelay Cloud with commercially reasonable care, including automated backups and managed upgrades, but the service is provided without an uptime guarantee at this tier. We may improve or modify features over time; we will not materially degrade the core service you pay for without notice.

8. Disclaimer of warranties

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.

10. Indemnification

You will indemnify and hold us harmless from claims arising out of your content, your use of the service in violation of these Terms, or the acts of agents operating under your workspace's keys.

11. Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved individually — you and we each waive any right to participate in a class action — in the state or federal courts located in Delaware.

12. Changes to these Terms

We may update these Terms; material changes will be announced by email or in-product notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Entire agreement; severability; assignment

These Terms plus our Privacy Policy are the entire agreement for kbRelay Cloud. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
